1. Agreement to terms

By engaging Scalecraft for services, requesting a proposal, or using this website, you agree to be bound by these Terms and Conditions. These terms apply to all service engagements, retainer agreements, and project-based work between Scalecraft and its clients.

If you disagree with any part of these terms, please do not engage our services.

2. Services

Scalecraft provides growth studio services for D2C brands, including but not limited to:

The specific scope of services for each engagement is defined in a written proposal or statement of work agreed upon before commencement. Work outside the agreed scope is subject to separate quotation.

3. Payment terms

Summary: Projects require 50% advance to begin. Retainers are invoiced monthly in advance. All completed work is non-refundable. All prices are exclusive of 18% GST.

Full month invoiced in advance at the start of each billing cycle. First cycle payable before work commences.

Advance payment: Work will not commence until the advance payment has cleared. Timeline commitments begin from the date payment is received, not the date of signing.

GST: All quoted prices are exclusive of 18% Goods and Services Tax (GST), which will be added to all invoices. TDS under Section 194J of the Income Tax Act (10%) is accepted on retainer invoices where applicable.

Late payment: Invoices are due within 7 days of issue. Work may be paused on retainers where a monthly invoice remains unpaid after 14 days.

4. Refund policy

No refunds on completed work. Once a deliverable has been completed and delivered — including audits, landing pages, ad campaigns that have run, or any phase of a development project — the corresponding payment is non-refundable.

Retainer months: A retainer month that has commenced is non-refundable. If you exit with 14-days' notice mid-month, the full month is still payable.

Advance payments: If Scalecraft is unable to commence work within the agreed timeline due to reasons within our control, the advance will be refunded in full. If work is cancelled at the client's request after commencement, the advance is non-refundable.

Reworks: We rework any deliverable at no additional cost until it meets the agreed brief. Rework requests must be within scope — changes to the brief after delivery are treated as new scope.

5. Cancellation and notice

Retainers: Either party may terminate a retainer engagement with 14 days' written notice (via email or WhatsApp). The final month of notice is payable in full.

Projects: If a client cancels a project after commencement, work completed to date is billed at the proportional rate of the total project fee, with a minimum of 50% (the advance).

Scalecraft reserves the right to terminate an engagement immediately if a client acts in bad faith, engages in abusive conduct, or fails to make payment after a 14-day grace period.

6. Client responsibilities

Timelines and results depend in part on your participation. You agree to:

Delays caused by slow client feedback or missing assets do not extend our responsibility for results, and may result in timeline adjustments.

7. Intellectual property

Client IP: You retain ownership of all content, data, brand assets, and materials you provide to us.

Deliverable IP: Upon receipt of full payment, ownership of custom deliverables (website designs, copy, ad creative produced solely for your brand) transfers to you.

Scalecraft IP: We retain ownership of our internal frameworks, methodologies, audit templates, and any proprietary processes used in delivering services. These are licensed to you for use within the engagement, not transferred.

Portfolio: We may reference our work with your brand in our portfolio (screenshots, metrics, brief descriptions) unless you specifically request otherwise in writing.

8. Confidentiality

Both parties agree to keep confidential all non-public information shared during the engagement, including business data, financials, strategies, and operational details. This obligation continues for 24 months after the engagement ends.

Case studies shared on our website use anonymised data by default. Named case studies require your explicit written consent.

9. Results and warranties

We do not guarantee specific revenue outcomes, ROAS figures, or conversion rate improvements. Marketing and e-commerce performance depends on factors outside our control including product-market fit, competitive environment, ad platform algorithms, economic conditions, and client-side implementation.

10. Limitation of liability

Scalecraft's total liability for any claim arising from a service engagement is limited to the total fees paid by you for the specific engagement giving rise to the claim in the 3 months preceding the claim.

We are not liable for indirect, incidental, or consequential damages including loss of revenue, loss of data, or business disruption.

11. Data usage

In the course of providing services, we may access your Shopify analytics, Meta Ads Manager, Google Ads, and other business accounts. This access is used solely to deliver your engagement. We do not share this data with third parties. See our Privacy Policy for full details.

12. Governing law

These Terms are governed by the laws of India. Any disputes arising from a service engagement will be subject to the exclusive jurisdiction of the courts in Delhi, India.

13. Amendments

We may update these Terms from time to time. For active engagements, we will provide 14 days' notice of any material changes. Continued engagement after that period constitutes acceptance.
